As per provisions of Companies Act, 2013 the Board of Directors of a company may, if so authorised by its articles, appoint additional director, alternate director, nominee director and casual vacancy director. Appointment of director in Casual vacancy shall be subsequently approved by members in the immediate next general meeting. Further, Additional director shall be appointed to hold office up to the date of the next annual general meeting or the last date on which the annual general meeting should have been held, whichever is earlier. He can be appointed as director by members in the Annual General meeting. Whereas, for appointment of alternate director and nominee director member’s approval is not required. There is no other way for the appointment of these directors.
