Both model answers have different conclusions. Model ans 1 states that appellate is not eligible for compensation for loss of office. Model ans 2 states that appellate is eligible for compensation for loss of office.
answer of Model answer sheet 2 is correct. Managing Director in this case is eligible for compensation for loss of office as removal of director due to loss of confidence does not appear in Companies Act as a ground of removing.
