Meeting of Independent directors

Amar one of the independent director of ignite colour ltd which is a listed company which intends to hold a meeting of independent directors without inviting the managing director of the company. Is the action of the independent director bails ?

Clause VII of Schedule IV to the Companies Act, 2013, and regulation 25 (3) of SEBI LODR 2015 provides that a separate meeting of Independent Directors should be held atleast once in a year. The non-independent directors and other members of management should not be part of such meeting at all. Hence, Amar, independent director of ignite colour ltd which is a listed company which intends to hold a meeting of independent directors, can hold the meeting of only independent directors as per these provisions.
